Pillnode Technologies Limited - Terms and Conditions of Use

1. INTRODUCTION

Welcome to Pillnode Technologies Limited ("Pillnode", "we", "us", "our"). These Terms & Conditions ("Terms") govern your use of our platform(s) (online website and/or offline services) that connect pharmacies, healthcare institutions, and wholesalers for the purchase, sale, or donation of near-expiry drugs and medical products ("Products").

By accessing or using our website, mobile application, or any of our services ("Platform"), you agree to be bound by these Terms and Conditions of Use ("Terms"). If you do not agree, please do not use the Platform.

These Terms constitute a legally binding agreement between you and Pillnode Technologies Limited, a company incorporated under the laws of the Federal Republic of Nigeria.

2. DEFINITIONS & INTERPRETATION

In these Terms, unless the context otherwise requires:

  • Account: your registered user account on the Platform.
  • Buyer: a User who purchases Products via the Platform.
  • Seller: a User who lists Products for sale via the Platform.
  • Donor: a User who lists Products for donation.
  • Recipient: a User or organisation receiving donated Products.
  • Healthcare Institution: hospital, clinic, or similar entity licensed to use or dispense medical/therapeutic Products.
  • Wholesaler: a licensed entity distributing medical Products in bulk.
  • Pharmacy: a licensed dispensing entity for retail sale of medical Products.
  • User: any Buyer, Seller, Donor, Recipient, Healthcare Institution, Wholesaler or Pharmacy using the Platform.
  • Near-expiry Products: Products which have a remaining shelf life less than what is typical for new stock but still within permissible limits for safe use, according to applicable regulations.
  • Transaction: any purchase, sale, or donation of Products facilitated through the Platform.
  • Payment Provider: third party through whom payments are processed (Paystack in our case).
  • Regulatory Authorities: bodies such as the National Agency for Food and Drug Administration and Control (NAFDAC), the Pharmacists Council of Nigeria (PCN), and any other relevant authority under Nigerian law.
  • Confidential Information: any non-public or proprietary information disclosed by one party to another in connection with these Terms.
  • Platform Fees / Commission: the percentage or charges that Pillnode takes from a successful Transaction (currently 2.5%).
  • Product Listing: the listing of Products by Sellers or Donors on the Platform.
  • Interpretation rules: headings for convenience; singular includes plural; referencing laws includes amendments and re-enactments.

3. ELIGIBILITY & ACCOUNT REGISTRATION

To register as a User (Seller, Buyer, Donor, etc.):

  • You must be a legal entity or an individual authorised under Nigerian law, with all requisite licenses and registrations (e.g., pharmacy licence, healthcare institution license).
  • You must provide accurate, complete documentation as required (NAFDAC registration number for Products, licence from PCN, CAC documents). We reserve the right to verify documents.
  • You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorised access or breach.
  • Users may not maintain multiple accounts for deceitful purposes or misrepresent their identity. We may suspend or terminate such accounts.

4. USER OBLIGATIONS

Users agree to:

a. Comply with all applicable laws, regulations, and ethical standards, including those enforced by NAFDAC, PCN, NDLEA, and the Federal Ministry of Health.

b. Ensure all product information is accurate, including batch numbers, expiry dates, and storage conditions.

c. Refrain from listing or distributing:

  • Counterfeit or unregistered products;
  • Controlled substances without a proper licence;
  • Expired or contaminated products.

d. Maintain proper records of all transactions for audit or compliance purposes.

e. Report any suspected non-compliance or adverse incidents to Pillnode and the relevant authorities immediately.

5. PRODUCT LISTINGS AND DONATIONS

a. Products listed must:

  • Have a verifiable NAFDAC registration number;
  • Have a minimum of three (3) months remaining shelf life at the time of listing;
  • Be stored and handled in compliance with regulatory standards.

b. If any information becomes inaccurate (e.g. expiry date, condition, registration), Sellers/Donors must update or remove the listing immediately.

c. Donation listings are subject to vetting. Pillnode may review and approve eligible recipients, especially charitable or public healthcare institutions.

d. Sellers and Donors must ensure that all products are genuine and safe for use.

e. Pillnode reserves the right to remove any listing that violates these Terms or any applicable law.

6. TRANSACTIONS AND PAYMENTS

  • All payments for transactions on the Platform are processed via Paystack.
  • Pillnode charges a 2.5% (two point five per cent) service fee on each successful transaction.
  • Payment funds will be held/escrowed only to the extent necessary until goods are delivered and accepted (if that is part of our process).
  • Payment to Sellers will be remitted after deduction of applicable fees or commissions.
  • Sellers are responsible for any applicable taxes on the transaction.
  • Any payment dispute must be raised within 24 hours after the Transaction. Pillnode may assist mediation.
  • Donations are processed at zero monetary consideration, except where logistical or administrative costs apply.
  • Pillnode is not responsible for payment failures, chargebacks, or delays caused by third-party payment processors.

7. DELIVERY AND FULFILMENT

  • Pillnode does not handle logistics or delivery of products.
  • Users are solely responsible for the collection, shipping, and delivery of products, and must ensure compliance with relevant handling and storage standards.
  • Buyer or Recipient has the right to inspect goods on delivery to confirm conformity with the listing.
  • If goods do not conform (wrong batch, wrong expiry, damage), the Buyer/Recipient may reject them in accordance with our return policy.
  • Risk and title to products transfer directly between the Seller and Buyer upon delivery and acceptance.

8. COMPLIANCE AND REGULATORY REQUIREMENTS

a. All Users must comply with the standards of:

  • NAFDAC (for drug registration and labelling);
  • Pharmacists Council of Nigeria (PCN) (for licensing and practice standards);
  • Federal Ministry of Health (FMoH) (for public health compliance);
  • NDLEA (for controlled substances);
  • Any other applicable authority.

b. Pillnode reserves the right to:

  • Report violations to regulatory agencies;
  • Cooperate with investigations or inspections;
  • Suspend or terminate non-compliant accounts.

9. INTELLECTUAL PROPERTY

  • All intellectual property rights in the Platform, including trademarks, software, and design, are owned or licensed by Pillnode.
  • Users may not reproduce, modify, or distribute any part of the Platform without prior written consent.
  • User-generated content (such as listings) grants Pillnode a limited licence to use, display, and reproduce such content for operational purposes.

10. DISCLAIMERS & LIMITATION OF LIABILITY

  • The Platform is provided "as is" and "as available". Pillnode does not guarantee that listings are accurate, Products are free from defects, or that regulatory compliance is always met by Sellers/Donors.
  • Nothing on the Platform constitutes medical advice. Buyers, Recipients, and Users should consult professionals.</li> <li>Pillnode is not the seller or donor of Products, nor the buyer or recipient, and does not take title to Products.
  • Pillnode's liability arising from a breach of these Terms shall be limited to the total commissions or fees paid by the User in the 6 months preceding the claim.
  • Pillnode is not liable for indirect, special, incidental, consequential, or punitive damages.
  • No party shall be liable for delays or failures caused by events beyond reasonable control (e.g. natural disasters, regulatory changes, strikes).

11. INDEMNITY

You indemnify and hold harmless Pillnode, its officers, directors, employees, agents from any claims, losses, liabilities, damages (including legal fees) arising from your breach of these Terms, violation of any laws or regulations, listing or supplying defective or non-compliant Products, misrepresentations or fraudulent activity.

12. SUSPENSION & TERMINATION

a. We may suspend your Account or listings temporarily for violation of regulatory obligations, suspicious activity, failure to provide required documentation, or non-payment of fees.

b. We may terminate your Account permanently for serious or repeated breach, insolvency, or by notice. You may also terminate by ceasing to use the Platform and giving written notice.

c. Effects of Termination:

  • Outstanding fees, commissions remain due.
  • Listings will be removed.
  • Any pending Transaction may be completed or cancelled as per the dispute rules.
  • Data retention as per privacy policies and legal requirements.

13. DISPUTE RESOLUTION

  • We encourage Users to raise complaints first via our internal dispute resolution process, contacting customer support with details.
  • If internal resolution fails within 48 hours, disputes shall be referred to arbitration in accordance with the Arbitration and Mediation Act 2023. The arbitral tribunal shall sit in Nigeria, and proceedings shall be in English.
  • If arbitration fails or is inapplicable, Users may proceed to litigation in courts in Nigeria.
  • These Terms are governed by the laws of the Federal Republic of Nigeria.

14. AMENDMENTS & UPDATES

We reserve the right to amend or update these Terms from time to time. If changes are material, we shall provide prior notice via in-platform notice. Continued use after changes implies acceptance.
